Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and Kosenai when you access or use our website, studio, or related services (collectively, the “Service”). By using the Service, you confirm that you have read, understood, and agree to these Terms.

We may update these Terms when we release new features or to reflect legal requirements. If changes are material, we’ll provide notice through the Service or email when possible. Continued use after changes take effect means you accept the updated Terms.

You must be able to form a legally binding contract to use the Service. If you use the Service on behalf of a company or team, you confirm that you are authorized to bind that entity to these Terms.

• Keep your account information accurate and current.
• Maintain the confidentiality of your login credentials and restrict access to your account.
• You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

Some features require a paid plan. When you start a paid subscription, you authorize us and our payment processor (such as Stripe) to charge the payment method you provide on a recurring basis until you cancel.

• Pricing, plan limits, and renewal periods are shown at checkout and within your account.
• Trials or promotional periods convert to paid plans if not canceled before the trial ends.
• Fees are generally non-refundable for the current billing period, except where required by law.
• You can cancel at any time in your account settings; cancellation stops future renewals but does not automatically issue refunds.

Kosenai helps creators draft scripts and generate shot lists with AI assistance. AI-generated content may be inaccurate, incomplete, or reflect biases. Always review and edit outputs before you rely on them.

Do not use the Service for decisions that could result in harm without human verification (for example: medical, legal, or financial advice). You remain responsible for how you use and publish any output.

You retain ownership of scripts, uploads, prompts, and other materials you submit to the Service (“User Content”).

To operate the Service, you grant Kosenai a worldwide, non-exclusive, royalty-free license to host, process, reproduce, adapt, and display User Content solely to provide, secure, and improve the Service.

You also grant us the right to generate non-identifying, aggregated insights (for example, usage patterns or reliability metrics) to improve performance and stability. We do not claim ownership of your creative work.

We handle your information in line with our Privacy Policy. We limit access to your workspace content to personnel and service providers who need it to operate or support the Service. Avoid submitting highly sensitive information unless it is necessary, and understand that sharing your work with collaborators makes it available to them.

We aim to keep Kosenai useful and safe for creators. You agree not to:

• Use the Service for unlawful, harmful, or deceptive activities.
• Infringe or misappropriate the intellectual property or privacy rights of others.
• Upload malicious code, attempt to bypass security controls, or disrupt the Service.
• Misrepresent your identity or affiliation, or attempt to misuse free trials or promotions.
• Reverse engineer, copy, or resell the Service except where explicitly permitted.

We rely on third parties to deliver parts of the Service. Examples include authentication (such as Clerk), payments (such as Stripe), analytics, hosting, and AI model providers (for example, OpenAI or Google). Your use of those services may be subject to their own terms and privacy policies. We are not responsible for third-party services we do not control.

Kosenai owns the Service and all related intellectual property, including software, visual design, know-how, and trademarks. Your license to use the Service is limited, revocable, and non-transferable, and exists only to let you access the Service as intended under these Terms.

We may suspend or terminate access if you violate these Terms, if required by law, or to protect the Service or other users. We will attempt to provide notice when feasible. You may stop using the Service at any time. Certain rights and obligations (like ownership, payment obligations, indemnity, and limitations of liability) survive termination.

THE SERVICE AND ALL AI OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOSENAI WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

You agree to defend, indemnify, and hold harmless Kosenai and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Service, your User Content, or your violation of these Terms or applicable law.

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. If a dispute arises, you agree to attempt informal resolution with us first. If we cannot resolve it, the dispute will be handled in the state or federal courts located in Delaware, and you consent to their jurisdiction.

If we make material updates to these Terms, we will post the revised version with an updated date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
